payment-termsA deposit of {{depositPct}}% of the accepted total is due on signature to reserve the work. The remaining balance is invoiced per the schedule set out in the proposal and is payable within fifteen (15) days of each invoice date. All amounts are in {{currency}} and exclusive of applicable taxes. Late balances accrue interest at 1.5% per month.
scope-changeThe fees and timeline reflect the scope described in this proposal. Work requested beyond that scope is handled as a written change order, quoted separately, and does not begin until approved by {{clientName}}. Neither party is obligated by verbal change requests.
altapro-site-access{{clientName}} provides safe, timely access to any site, systems, or data required to perform the work. Delays caused by lack of access shift the timeline day-for-day. All on-site work follows applicable Alberta occupational health and safety requirements.
bespoke-automation-maintenanceAutomations are built to the specification in this proposal against the third-party platforms in use at build time. If a third-party platform changes its API or terms, remediation is handled as a change order. Ongoing monitoring is included only where a support tier is selected.
cancellationEither party may cancel this engagement with written notice. On cancellation, {{clientName}} pays for all work completed and costs committed up to the cancellation date. The deposit is non-refundable once work has begun.
intellectual-propertyOwnership of the final delivered work transfers to {{clientName}} upon receipt of full payment. Until then, all work product remains the property of {{provider}}. {{provider}} retains the right to reference the completed work in its portfolio unless {{clientName}} requests otherwise in writing.
limitation-of-liability{{provider}}'s total liability under this agreement is limited to the fees paid for the work giving rise to the claim. Neither party is liable for indirect, incidental, or consequential damages.
bespoke-data-handling{{provider}} processes {{clientName}} data only as needed to build and run the agreed automations, and does not sell or share it. {{clientName}} is responsible for the lawful basis of the data it supplies.
confidentialityEach party keeps the other party’s non-public business information confidential and uses it only to perform this engagement. This obligation survives the end of the engagement.
governing-lawThis agreement is governed by the laws of {{jurisdiction}}. The parties submit to the courts of that jurisdiction for any dispute that cannot be resolved in good faith.
altapro-warranty{{provider}} warrants delivered work against defects in workmanship for ninety (90) days from delivery. This warranty covers correction of the defect and does not extend to changes in scope or third-party systems.
